Clément MOGAVERO

Clément MOGAVERO’s practice focuses on mergers & acquisitions and corporate law. He advises French and international clients in the following areas :

  • external growth and company transfers (acquisitions/divestitures) ;
  • equity capital transactions and corporate restructurings (mergers, demergers, partial contributions of assets, shareholders’ agreements, etc.) ;
  • private equity transactions ;
  • structuring strategic alliances (economic interest groupings, joint ventures, consortiums, etc.) ;
  • commercial contracts (manufacturing, distribution, sales agents, subcontracting, general terms and conditions, etc.) ;
  • compliance (Sapin II law in particular).

Clément has acquired an extensive experience in advising international groups and knows how to coordinate projects involving several jurisdictions. Clément also advises clients on all types of standard corporate law operations (incorporations and day-to-day corporate matters, governance, etc.).

He assists French and foreign companies in a variety of sectors (including industry, services, healthcare, biotech, aeronautics, food industry, events and sports) in an international context.

Clément holds a Post graduate degree (Master II) in Business Law and a PhD in Business Law (Université Jean Moulin Lyon III).

Prior to joining DELSOL Avocats, Clément worked for 9 years in Paris with leading US and French international law firms (REED SMITH LLP and DS Avocats), and more recently in Lyon as Counsel at RATHEAUX.

He was also seconded to PROPARCO, a French development finance institution, and to PRIMONIAL REIM (formerly ICADE SANTE), one of France’s leading healthcare real estate companies.

Clément is fluent in English and frequently publishes academic articles in legal and economic periodicals.
