Comptoir Rhodanien, the summer fruit specialist, is restructuring its shareholding in the context of an MBO. CEO Christophe Soulhiard is reducing his stake in favour of the management, which is being relaunched, and company executives who are taking a stake in the capital.

The historical shareholders (Siparex MidCap, Carvest and Casra Capital) are reinjecting part of their investment while allowing new investors (Turenne Capital, IDIA Capital Investissement, BNP Paribas Développement and Sofilaro) to join the capital. This pool of new investors contributed approximately €15 million in equity and bonds.
A senior debt of €28 million and a tranche C debt completes the transaction.

In the context of this transaction, DELSOL Avocats assisted the management of Comptoir Rhodanien and Siparex with a team including

  • Emmanuel Kaeppelin, partner, Mayeul Brac de la Perrière, counsel, and Emilie Florentin, associate, on corporate matters ;
  • Séverine Bravard, partner, and Arthur Collet, associate, on the financing aspects ;
  • Delphine Bretagnolle, partner, with respect to labour law issues ; and
  • Jean-François Defudes, partner, regarding tax matters.
